Successfully integrated the accounting, billing and customer service function of an $800 Million acquisition (which was a doubling in size) into the existing wireless business during a time of extreme high growth – Established teams to manage critical activities, outsourced billing functions, created centralized functions until markets were ready to assume individual responsibility for areas.


Secured financing for multiple businesses in various forms (equity, debt and venture leasing) – Developed detailed plans and made extensive presentations to venture capital, venture leasing and traditional funding sources.


Selected and successfully implemented accounting systems for both small and large companies to facilitate the managing, controlling and reporting of operating activity – In large company established and managed a team to review operations, determine requirements, select packages and implement. With small company was very hands on from selection through implementation and quality follow-up to insure satisfaction.

The firm provide a full range of services relating to all areas of business development, finance, accounting and administration for small and mid-size companies. Based on the clients needs these services can be strategic or hands-on and can be project orientated ongoing. Services range from tasks as small as reviewing existing collection procedures or developing an expense reporting policy to providing ongoing CFO/Controller activities or serving as a senior financial advisor. Business Development: • Review acquisition potentials, develop negotiation strategies and perform due diligence reviews for valuation purposes.
• Create business plans and develop fund raising strategies along with identifying potential sources.
• Develop start up strategies and detailed implementation plans for new businesses as well as expanding lines of business.

Finance:
• Review current banking needs such as loans and lines of credit, develop strategy then identify and negotiate with various banks to obtain the most favorable terms and rates.
• Spearhead the development of employee stock option programs.
• Review leasing options as a way of financing needed assets.

Accounting: • Review current accounting system and if needed select and implement new system.
• Review and improve the collection policy of the company from creation of communications to customers to selection of quality collection agency.
• Review monthly closing process and streamline the activities and improve/develop management reporting.

• Provide CFO/Controller functions on an ongoing as required basis.

Administration / Human Resources: • Develop an employee manual specifying company policy and procedures to govern employee conduct and discipline process.
• Review benefits package and provide options to save the company money while maintaining employee moral.
• Review insurance coverage and obtain alternatives quotes to save the company money and improve coverage.
• Develop expense reporting policy which establishes the guidelines for the incurrence of expenses to be reimbursed by the company.
• Provide Administration management on an ongoing part time basis.

From 2002 to present, provide consulting and advisory services to companies as diverse as technology start-ups, building supply and construction operations and real estate acquisition and management organizations.

Examples of client work include:
Building Supply Company with $10 Million annual Sales --Provide ongoing full financial support including implementation of new accounting system, training staff and development of monthly reporting to the President. Interface with banks for establishing lines of credits and asset borrowing. Provide strategic advice on ways to improve margins, reduce expenses and increase profitability. Provide annual benefits review resulting in cost savings and increased employee satisfaction.


Technology Software Start-up – Developed detailed budgets and business plans, implemented pc based accounting system and developed personnel policies and employee handbook.


Early Stage Communication Product Company – Public company duties including all SEC filings, SOX compliance reviews and audit interfaces. Established business plans and vendor financing packages. Raised $3.5M in equity capital and $.75M in vendor equipment financing. Established all HR policies and processes.

Sales & Installation Company -- Provided strategic advice on acquisitions and product line expansion. Performed acquisition due diligence and established company systems upon purchase.

CFO, TallGrass Communications Inc. (2000-2002) - DSL voice/data provider in a 17 market model. Raised $3.6 million in two equity rounds. Implemented full accounting system and cost controls over expenditures, established HR function including benefits, 401K program, payroll and recruitment. Negotiated venture leasing program and contracts with suppliers. Sold assets to local business after telecom turndown.


President Midwest Region, MGC Communications, Inc (1998-2000) – Competitive local telephone company with high growth plans. Launched Chicago market after completing negotiations with major suppliers and regulatory agencies. Hired team and implemented customer focused policies and procedures and controls for business operations.


COO, Wireless Works (1996-1998) – Business development of unique technologies. Created business cases and negotiated license agreements for unique wireless and wireline technologies. Created detailed business plans for multiple businesses for fundraising efforts.


President / CFO, Inn Room Systems (1992-1996) – Manufactured, sold, installed and maintained mini-bars for hotels. After detailed analysis established in-house manufacturing and assembly process. Implemented accounting and MRP systems. Lowered product cost by over 40% by working with suppliers and sourcing offshore.
